Terms of service

These Terms of Service (“Terms”) govern your purchase and use of software and content from Shadow Edge Tools LLC, a Pennsylvania limited liability company (“Shadow Edge Tools”, “we”, “us”). By purchasing, downloading, activating, or using any of our products, you agree to these Terms. If you do not agree, do not purchase or use the software.

1. License grant

Each Shadow Edge Tools product is sold under a limited, personal, non-exclusive, non-transferable, revocable license for your own use. Your license is tied to your NinjaTrader account and is activated against the email address on that account. You may use the software on the machines signed in to your licensed NinjaTrader account for your personal trading. The license is not for resale, sharing, or use by anyone other than you.

2. License restrictions

You agree that you will not, and will not permit anyone else to:

  • copy, redistribute, resell, sublicense, rent, lease, or share the software or your license/credentials;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code, except to the extent this restriction is prohibited by applicable law;
  • circumvent, disable, or interfere with licensing, activation, or any security or usage control;
  • modify, adapt, or create derivative works from the software, or use it to build or train a competing product; or
  • use the software for any unlawful purpose or in violation of any exchange, broker, or prop firm rule.

3. Ownership and intellectual property

The software, its code, design, documentation, names, and logos, and all related intellectual property, are and remain the exclusive property of Shadow Edge Tools. We grant you a license to use the software; we do not sell or transfer any ownership rights to you. All rights not expressly granted are reserved.

4. No financial advice

Shadow Edge Tools software is a tool for managing trades that you decide to make. It does not provide financial, investment, legal, or tax advice, recommendations to buy or sell, trade signals, or any guarantee of any trading outcome. We are a software vendor — not a broker, introducing broker, CTA, financial advisor, or signal service. Trading futures, forex, and other instruments involves substantial risk of loss and is not suitable for everyone. See our Risk Disclosure for the full statement.

5. Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADOW EDGE TOOLS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the software will be uninterrupted, error-free, secure, or compatible with every NinjaTrader version, broker, prop firm, or market condition. Markets gap, brokers reject orders, and connections drop in ways outside our control. You are responsible for testing each product in Sim before risking real money.

6. Limitation of liability

To the maximum extent permitted by law, Shadow Edge Tools and its members, managers, employees, and affiliates will not be liable for any trading or investment losses, lost profits, missed opportunities, account breaches, or any indirect, incidental, special, consequential, or punitive damages arising out of or related to the software or these Terms, even if advised of the possibility. Our total aggregate liability for any and all claims is limited to the amount you actually paid for the product giving rise to the claim.

7. Indemnification

You agree to indemnify and hold harmless Shadow Edge Tools and its members, managers, employees, and affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use or misuse of the software, your trading decisions, or your violation of these Terms or of any law or third-party right.

8. Eligibility

You must be at least 18 years old and able to form a binding contract to purchase or use our software, and you are responsible for complying with the laws and trading regulations that apply to you.

9. Term and termination

These Terms apply for as long as you use the software. Your license terminates automatically if you breach these Terms. On termination — or if you receive a refund — you must stop using the software and remove all installed copies from your machines. The sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) survive termination.

10. Purchases, refunds, and updates

Purchases are processed by Stripe; Shadow Edge Tools LLC is the seller of record. Your download and lifetime updates are included with every purchase and are delivered by email. Refunds are governed by our Refund Policy.

11. Trademarks and third parties

NinjaTrader® is a registered trademark of NinjaTrader Group, LLC. Shadow Edge Tools is an independent software vendor and is not affiliated with, endorsed by, or sponsored by NinjaTrader, Kinetick, any prop trading firm, or any broker.

12. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Subject to the arbitration agreement below, any dispute that is not arbitrated will be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to their jurisdiction.

Binding arbitration. You and Shadow Edge Tools agree that any dispute arising out of or relating to the software or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator seated in Pennsylvania or conducted remotely. Judgment on the award may be entered in any court with jurisdiction.

Class-action waiver. Disputes will be conducted only on an individual basis, and not as a class, consolidated, or representative action.

Exceptions. Either party may instead bring a qualifying individual claim in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property. If the class-action waiver is held unenforceable, the remainder of this arbitration agreement will not apply to that dispute.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “last updated” date above. Your continued use of the software after a change takes effect means you accept the updated Terms.

14. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect. These Terms, together with our Refund Policy, Privacy Policy, and Risk Disclosure, are the entire agreement between you and Shadow Edge Tools regarding the software and supersede any prior understandings.
